Vietnamese IT services group FPT has agreed to acquire the Polish design and development operations of Nippon Seiki Europe. The deal establishes a new FPT subsidiary in Gdańsk dedicated to automotive software.

The business being transferred specializes in automotive embedded software development and employs 50 people. Financial terms were not disclosed. The transfer is scheduled to take effect from October 2, 2026.

Strategic Rationale for the Deal

For FPT, the acquisition bolsters its engineering capabilities in a key automotive sector. Nguyen Duc Kinh, FPT software executive vice president and FPT automotive CEO, stated the move would strengthen the company's embedded and automotive software development. "Through the acquisition of an organisation with more than two decades of experience, FPT will further strengthen our engineering capabilities, including embedded and automotive software development, while balancing consistent quality with development speed," Kinh said.

For the seller, Japanese components maker Nippon Seiki, the divestment aligns with its medium-term management plan. The plan for the financial years ending March 2025 to March 2027 lists securing growth potential and improving profitability of the head-up display (HUD) business as a strategic priority. The company said the move followed a broader review of its European operations focused on business selection and concentration.

Focus on Embedded and HUD Software

FPT confirmed the Gdańsk-based subsidiary will concentrate on embedded and HUD software development and validation. This aligns with Nippon Seiki's ongoing focus on HUDs. The Japanese firm recently agreed to acquire the HUD business of automotive components manufacturer Denso, encompassing development, manufacturing, and sales activities in Japan, China, Spain, the US, and Mexico.

Despite the sale, collaboration will continue. Nippon Seiki confirmed it plans to continue outsourcing software development to the newly formed FPT Poland after the handover. The company will maintain joint software development efforts across its locations in Japan, Vietnam, and Europe.

FPT's European Expansion

The acquisition marks a continued expansion for FPT in Europe. The company noted it has operated in the region since 2008. It reported that its IT services revenue in Europe climbed 36.5% during the first seven months of 2026.

Nippon Seiki stated the deal's impact on its overall business performance would be minimal. It added that further disclosures would follow if required.
